are you using one stick of ram or two if two are they exactly the same . Have you checked your ram to make sure it is functioning correctly. I have seen sponanious boots caused by two different sticks of Ram and also from bad Ram. Motherboard incompatibility with eather windows 98 or Xp is not something I have ever heard of. Might check the MB bios and see if an update is available.
You say that it is not a temp problem but have you tried removing a panel from your box and placing a fan near it. Some monitoring software does report temps wrong. This was especially true with the AMD XP chips when they first came out. I know from experiance. Hope something helps.
